The společnost s ručením omezeným, usually shortened to s.r.o., is the Czech equivalent of a private limited-liability company and is the standard vehicle for many small and medium-sized businesses.

BusinessInfo states that it can be founded by one natural person, one legal person or multiple shareholders, with registered capital starting at CZK 1.

The founding deed or memorandum establishes the company structure, but the s.r.o. itself comes into existence only after registration in the Commercial Register.

Before registration, the founders also need to address the company's registered office, directors, contributions and any trade licence or other business permission required for the planned activity.

The nominal minimum is deliberately low. BusinessInfo lists both the minimum registered capital and the lowest possible contribution at CZK 1.

A company still needs enough real cash to pay fees, rent, salaries, suppliers and tax. Under-capitalising the business because the statute allows it can create problems immediately after incorporation.

Contribution rules still matter

BusinessInfo states that at least 30% of a cash contribution and 100% of an in-kind contribution must be paid before establishment under the standard rules, with the balance timing set by the founding documents subject to statutory limits.

Founders should therefore decide the capital structure based on the actual financing plan rather than only the minimum legal requirement.

The practical checklist

A typical setup sequence is: choose the founders and directors, prepare the founding instrument, secure the registered office, arrange the required business authorisation, satisfy contribution requirements, enter the company in the Commercial Register and complete tax and operational registrations.

For foreign founders, banking, document authentication and Czech-language filing requirements can add time even when the underlying company structure is simple.
